Case Description
In October 2026, New Jersey filed a complaint and proposed final judgment concerning the CRH PLC’s proposed acquisition of Arcosa, Inc. New Jersey alleged that the proposed transaction may substantially lessen competition for the manufacture of and sale of hot-mix asphalt in the central part of the state. The complaint stated that by eliminating head-to-head competition between the defendants, the acquisition would likely increase the prices for hot-mix asphalt, including prices to the New Jersey Department of Transportation.
The proposed final judgment would require CRH to divest facilities in Flemington, South River, Hillsborough, Howell and Pennington, New Jersey.
The court approved the proposed final judgment on October 22, 2026.
