State sought to enjoin the merger between Marshfield Clinic and Wausau Medical Center, S.C., alleging that the merger would substantially impair the competition for health care services in the Wausau, Wisconsin area. In order to consummate the merger, the parties entered a consent decree requiring that the merged clinics obtain the Attorney General’s approval for any further medical practice acquisitions, exclusive contracts or covenants not to compete in physician employment contracts.
