Case Description

Plaintiff state filed suit to prevent the hostile takeover of Stanley Tool Works by Newell Col, alleging the acquisition would violate state and federal antitrust laws, damage the state’s economy and raise prices for consumers by significantly reducing competition in seven hardware markets: cabinet hardware, home improvement hardware, locking pliers, manual paint applicators, hot-melt glue guns, home improvement staplers, and riveting tools. Stanley had earlier filed suit to preven tthe takeover. The parties agreed that Newell would abandon the acquisition, sell the shares of Stanley it currently owned, would not pursue an acquisition of Stanley for 10 years, and would pay $75,000 to cover the Attorney General’s costs of investigation.
