Case Description
State joined other states and Federal Trade Commission in review of proposed acquisition of petroleum companies. (see Texas v. Conoco, Inc.) States and FTC sought to enjoin merger or to remedy anticompetitive effects from proposed acquisition by petroleum company of competitor. Missouri settlement incorporated divestiture terms and set temporary caps on certain transition-related costs that could be required by the merging parties of dealers in regions most affected by merger. Parties also reimbursed State for fees and costs of investigation. Separate consent judgments were reached by Federal Trade Commission and other states.
