Case Description
The U.S. Department of Justice and the Plaintiff States sought to enjoin the merger between USA Waste and Sanifill, alleging that the merger would substantially reduce competition in the waste hauling industry. In order to consummate the merger, the parties agreed to settlement terms in which Sanifill and USA Waste divested certain assets, namely the Houston Assets, the Sunray Assets and the Airspace Assets. Further, the Defendant companies agreed to dispose of municipal waste at a certain landfill over a ten year period and they were required to modify the terms of their contracts with customers to ensure future competition.
